Terms of Service and Acceptable Use Policy
Welcome to Communeo.
Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the website, mobile application, and services operated by Communeo ("us", "we", or "our").
By accessing or using our platform ("the Service"), you agree to be legally bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
1. Nature of Service
Communeo is a property management operating system ("SaaS") designed to humanize and facilitate the administration of shared spaces. Our platform connects three key types of users:
- Property Managers: Those who manage buildings, collections, and maintenance.
- Residents: Tenants or owners who inhabit the spaces.
- Service Providers: External professionals who perform maintenance and services.
Communeo acts as a technological facilitator and is not a real estate agency, a direct provider of maintenance services, nor a guarantor of lease agreements between Property Managers and Residents.
2. Accounts and Registration
2.1 Eligibility
To use our Service, you must be at least 18 years of age and possess the legal authority, right, and freedom to enter into a binding agreement under these Terms.
2.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You agree to assume responsibility for all activities that occur under your account.
- You must notify us immediately of any security breach or unauthorized use of your account.
- Communeo shall not be liable for any loss caused by unauthorized use of your account resulting from your failure to comply with these security obligations. This does not limit Communeo's liability that may arise from its own failure to maintain information security.
2.3 Accuracy of Information
You agree to provide true, accurate, current, and complete information during the registration process and to update such information to keep it true, accurate, current, and complete.
3. Acceptable Use and Conduct
Our goal is to create safe and respectful communities. By using the Service, you agree NOT to:
- Violate Laws: Use the Service for any illegal purpose or to solicit the performance of any illegal activity.
- Harass: Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
- Interfere: Upload or transmit viruses, malware, or any other type of malicious code that affects the functionality of the Service.
- Misrepresent Identity: Impersonate another person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Data Scraping: Use manual or automated processes (bots, spiders, scrapers) to monitor or copy any content from the Service without our express written permission.
4. Payments, Subscriptions, and Fees
4.1 For Managers (SaaS Subscription)
Certain features of the Service are billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle").
- Renewal: Your subscription will automatically renew unless you cancel it or Communeo cancels it.
- Fee Changes: Communeo may modify subscription fees with at least thirty (30) days' prior written notice to the account administrator (via email). If you do not agree with the fee change, you may cancel your subscription before the change takes effect; otherwise, your continued use of the Service will constitute acceptance of the new fees.
- Refunds: Except where required by applicable law, subscription fees are non-refundable. In the event of termination by Communeo for reasons other than your breach, a pro-rata refund of the unused prepaid subscription period will be provided.
4.2 Resident Payments and Services
Communeo facilitates payment processing between Residents and Property Managers through third-party payment processors (Stripe).
- Transaction Fees: Processing fees may apply to payments made through the platform. These will be clearly communicated to you before confirming any payment.
- Payment Disputes: Disputes regarding payments between Residents and Property Managers must be resolved directly between those parties. Communeo is not a party to such disputes and assumes no liability for them.
5. Communeo's Intellectual Property
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Communeo and its licensors.
- Software and Algorithms: All code, algorithms, databases, and processes underlying the Service remain Communeo's exclusive property.
- Trademarks: The name "Communeo", the lowercase "communeo" wordmark closed by its threshold dot, and the associated visual identity — including its color palette and typographic system — are trademarks and distinctive elements of Communeo.
- License to Use: We grant you a limited, non-exclusive, non-transferable license to use our Service strictly in accordance with these Terms. This license terminates automatically upon closure or suspension of your account.
6. User Content
Our Service allows users to post, link, store, share, and otherwise make available certain information, text, graphics, or other material ("Content").
- Ownership: You retain all your rights to any Content you submit, post, or display on or through the Service.
- Responsibility: You are solely responsible for the legality, reliability, and appropriateness of the Content you post (e.g., maintenance photos, lease agreements, community announcements).
- License to Communeo: By posting Content on the platform, you grant Communeo a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and process such Content solely to the extent necessary to provide the Service. This license terminates when you delete the Content or close your account, subject to applicable data retention periods set out in our Privacy Policy.
7. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.
- Termination by You: You may cancel your account at any time by notifying Communeo with at least fifteen (15) days' prior notice via email to legal@communeo.io.
- Effect of Termination: Upon termination, your right to use the Service will cease immediately. Communeo will retain your data for thirty (30) days following termination, during which you may request an export of your data. After this period, your data will be deleted in accordance with our Privacy Policy.
- Refunds on Termination by Communeo: If Communeo terminates your account for reasons other than your breach of these Terms, a pro-rata refund of any prepaid but unused subscription fees will be issued.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Communeo, its directors, employees, partners, agents, suppliers, or affiliates, be liable for:
- Indirect, incidental, special, consequential, or punitive damages.
- Any loss of profits, data, use, goodwill, or other intangible losses.
- Any service interruption, system failure, or data loss.
Our total aggregate liability for any claim under these Terms, including any implied warranties, is limited to the amount you paid us to use the Service (if applicable) in the last twelve (12) months.
Note: Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, Communeo's liability will be limited to the maximum extent permitted by law.
9. Disclaimer ("As Is")
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Communeo does not warrant that:
- The Service will function uninterrupted, secure, or be available at any particular time or location.
- Any errors or defects will be corrected.
- The Service is free of viruses or other harmful components.
10. Indemnification
10.1 Indemnification by User
You agree to defend, indemnify, and hold harmless Communeo and its licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) resulting from:
- Your use and access to the Service.
- Your violation of any term of these Terms.
- Your violation of any third-party right, including without limitation any copyright or privacy right.
10.2 Indemnification by Communeo
Communeo agrees to defend, indemnify, and hold harmless the User from and against any third-party claim that the Service, as provided by Communeo and used in accordance with these Terms, infringes any intellectual property right or results from a data breach caused by Communeo's own negligence. Communeo's indemnification obligation is subject to: (a) prompt written notice from you of any such claim; (b) Communeo's right to control the defense and settlement; and (c) your reasonable cooperation in the defense.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect, by email to the address associated with your account. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
12. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the United Mexican States, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Mexico City (Ciudad de México), and each party irrevocably submits to the personal jurisdiction of such courts.
